These Terms of Service ("Terms") govern your access to and use of CharterLab, an interactive finance learning platform operated by Ogos Learning Resources Sdn. Bhd. ("Ogos Learning", "we", "us", or "our"), accessible at ogoslearning.com and its related services (collectively, "the Platform").
Each time you log in, your continued access constitutes renewed acceptance of the most current version of these Terms.
"Platform" means the CharterLab website, application, and all associated services, content, and materials made available by Ogos Learning.
"Content" means all text, data, software, graphics, user interfaces, visual designs, interaction mechanics, pedagogical structures, and other materials available on or through the Platform.
"Widget" means any interactive learning module, simulation, calculator, mechanic, or exercise made available through the Platform, including its visual design, layout, interaction flow, and underlying structure.
"Account" means the individual user account created to access the Platform.
"Subscription" means a paid plan granting access to Premium Content beyond the free tier.
"You" / "User" means any individual who accesses or uses the Platform.
The Platform is intended for finance professionals, students, and individuals preparing for professional finance qualifications. You must be at least 18 years of age to create an Account.
You are responsible for maintaining the confidentiality of your login credentials. Your Account is for your personal use only and may not be shared with, transferred to, or used by any other person.
You agree to provide accurate and complete information when registering and to keep your account details updated.
During any beta or early access period, accounts may be provisioned by Ogos Learning directly. Even where login credentials are shared for pilot purposes, all restrictions in these Terms apply to each individual user accessing the Platform. Ogos Learning reserves the right to convert shared pilot accounts to individual accounts at any time.
All Content on the Platform — including but not limited to Widget designs, visual layouts, interaction patterns, UX mechanics, pedagogical frameworks, graphics, software, and documentation — is the original work of and is owned exclusively by Ogos Learning Resources Sdn. Bhd. This Content is protected under the Copyright Act 1987 (Malaysia) and applicable international intellectual property laws.

Nothing in these Terms transfers any intellectual property rights to you. Access to the Platform is a licence only.
Subject to your compliance with these Terms, Ogos Learning grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform solely for your own personal, non-commercial study and professional development purposes.
Free tier content may be accessed without a paid Subscription, subject to these Terms.
A valid active Subscription is required to access Premium Content. Your licence to Premium Content is contingent on maintaining a current Subscription.
No other rights are granted. This licence does not permit commercial use, redistribution, or use for any purpose other than personal learning.

You must not share your Account credentials with any other person or allow any other person to access the Platform using your Account.
You must not attempt to decompile, disassemble, reverse engineer, or otherwise derive the source code or underlying structure of any Platform software or Widget.
You must not use the Platform or any Content for any commercial purpose, including to develop, market, or sell competing products or services.
You must not attempt to circumvent any access controls, authentication mechanisms, or content restrictions on the Platform.
Ogos Learning offers paid Subscription plans that unlock access to Premium Content. Current plans and pricing are set out at charterlab.netlify.app/charterlab_pricing_v1_0 and are subject to change.
Subscription fees are billed in advance, either monthly or annually depending on the plan selected. By subscribing, you authorise Ogos Learning (or its designated payment processor) to charge the applicable fees to your chosen payment method.
All fees are stated exclusive of applicable taxes. You are responsible for any taxes, levies, or duties imposed on your purchase in accordance with applicable law.
If your payment fails, your access to Premium Content may be suspended or downgraded until payment is successfully processed.
You may upgrade, downgrade, or cancel your Subscription at any time through your account settings. Changes take effect at the end of the then-current billing period, unless otherwise stated.
All Subscription fees are non-refundable except as expressly set out in this clause or as required by applicable Malaysian consumer law.
If you are a first-time subscriber and are not satisfied with your Subscription, you may request a full refund within 30 days of your initial payment by contacting us at jinyoong@ogoslearning.com. This policy applies to your first Subscription only.
Cancelling your Subscription stops future billing. You retain access to Premium Content until the end of your current paid billing period, after which your account reverts to free tier access. No partial refunds are issued for unused portions of a billing period.
If your access is terminated by Ogos Learning for breach of these Terms, you are not entitled to a refund for any portion of unused Subscription fees.
Certain features or content on the Platform may be designated as "beta", "early access", or "pilot". These features are provided on an as-is basis and may be modified, restricted, or discontinued at any time without notice.
Ogos Learning makes no commitment that beta features will be made permanently available, that functionality will remain unchanged, or that any data or progress associated with beta features will be retained.
If you provide feedback on beta features, you grant Ogos Learning a royalty-free, irrevocable licence to use that feedback for any purpose without obligation to you.
The Platform is an educational tool only. Ogos Learning makes no representation or warranty that use of the Platform will result in success in any professional examination, including but not limited to the CFA examinations.
Nothing on the Platform constitutes financial, investment, legal, or professional advice. Content is for educational purposes only.
Ogos Learning does not warrant that the Platform will be available at all times, free from errors, or free from interruption. We will endeavour to provide reasonable notice of planned downtime.
While we take reasonable care to ensure the accuracy of educational content, Ogos Learning does not warrant that all content is free from error. Users should verify material against official curriculum sources.
To the maximum extent permitted by Malaysian law, Ogos Learning shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage arising from your use of, or inability to use, the Platform.
To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with these Terms or the Platform shall not exceed the total Subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim, or RM 500, whichever is greater.
Nothing in these Terms limits or excludes liability that cannot be excluded under mandatory provisions of Malaysian law.
You agree to indemnify, defend, and hold harmless Ogos Learning Resources Sdn. Bhd., its officers, directors, employees, and agents from any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

Ogos Learning reserves the right to suspend or permanently terminate your access to the Platform, with or without notice, if we reasonably believe you have breached these Terms — in particular, Clause 6 (Prohibited Conduct).
You acknowledge that a breach of Clause 6 (Prohibited Conduct), and in particular Clause 6.1 (Design Copying), may cause Ogos Learning irreparable harm for which monetary damages alone may not be an adequate remedy. Accordingly, Ogos Learning reserves the right to seek injunctive or other equitable relief in addition to any other remedies available at law or in equity, without the requirement to post bond or other security.
Your logged acceptance of these Terms (including IP address, timestamp, and account identifier) constitutes evidence of your agreement and may be used in any dispute or legal proceeding.
Clauses 4, 6, 11, 12, 13, and 14 survive termination of your Account or these Terms.
These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.
You agree to submit to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia for the resolution of any dispute arising out of or in connection with these Terms or the Platform.
Before commencing any formal proceedings, both parties agree to make reasonable good faith efforts to resolve any dispute informally by written notice to the other party.
Ogos Learning may update these Terms from time to time. We will notify you of material changes by email (if an email address is on file) or by a notice on the Platform. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the updated Terms. If you do not agree to an amendment, you must stop using the Platform before the amendment takes effect.
These Terms constitute the entire agreement between you and Ogos Learning regarding the Platform and supersede all prior agreements, representations, or understandings.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Ogos Learning may assign these Terms without restriction.
